Vendor Agreement

This Vendor Partner Agreement ("Agreement") is entered into between LastBite ("LastBite", "we", "us", or "our") and the business registering as a vendor on the LastBite platform ("Vendor", "you", or "your"). This Agreement governs your participation as a Vendor on the LastBite marketplace and is separate from, and in addition to, LastBite's consumer-facing Terms of Service.

By completing Vendor registration, uploading your trade license, or listing any item on the LastBite platform (the "Platform"), you agree to be bound by this Agreement.

Read this carefully before signing up. This Agreement includes an exclusivity commitment, food safety and liability obligations placed on you as the Vendor, and provisions that protect LastBite from claims arising out of the food and items you sell.

1. Definitions

"Platform" means the LastBite mobile application, website, vendor dashboard, and related services.

"Listing" means any Surprise Bag, Parcel Market item, or other item the Vendor makes available for sale through the Platform.

"Consumer" means any individual who reserves or purchases a Listing through the Platform.

"Competing Platform" means any third-party application, website, or service whose primary business model involves the sale, redistribution, or discounted offering of surplus, near-expiry, or end-of-day food or retail items to consumers through a marketplace, subscription, or similar model. This includes, without limitation, services such as Too Good To Go and Peekabox, whether operating under those names or any successor or rebranded name, and any other platform that performs a substantially similar function, whether existing now or launched in the future.

"Term" means the period during which the Vendor maintains an active account on the Platform.

1. Eligibility & Registration

To register as a Vendor, you must:

• Operate a legitimate business with a valid UAE trade license covering the activity of preparing, selling, or distributing food or retail goods, as applicable
• Provide accurate business information, including business name, category, address, and trade license number
• Upload a clear, current, and genuine copy of your trade license
• Have the authority to enter into this Agreement on behalf of the business you represent

LastBite reviews all Vendor applications and reserves the right to approve, reject, or request additional information before activating any Vendor account, at its sole discretion.

1. Vendor Warranties

By signing this Agreement, you represent and warrant that:

–    Your trade license is valid, current, and accurately reflects your business activity

–    All food prepared, packaged, and sold through the Platform complies with applicable UAE food safety, labelling, and hygiene laws and regulations, including any requirements of Dubai Municipality or other relevant authority

–    Every Listing you create is accurate as to category, general contents, and pickup window, and is not deceptive or misleading to Consumers

–    You have all necessary rights, licenses, and permissions to sell the items you list, and that doing so does not infringe the rights of any third party

–    You will maintain the value standard communicated to you at onboarding (that the contents of a Listing reflect a fair multiple of the price charged), and LastBite may remove or suspend Listings that do not meet this standard

1. Commission & Fees

LastBite charges a commission on each completed sale made through the Platform, at the base rate communicated to you during onboarding and reflected in your Vendor dashboard or a separate fee schedule provided by LastBite (the "Fee Schedule").

LastBite may also charge an annual subscription fee for continued participation on the Platform, the amount and terms of which will be set out in the Fee Schedule or communicated to you directly.

Commission rates and subscription fees are subject to change. LastBite will provide reasonable advance notice of any change to your rates through the app, email, or your Vendor dashboard before the new rate takes effect. Continued use of the Platform after a rate change takes effect constitutes your acceptance of the new rate.

1. Payments & Payouts

Consumer payments for Listings are processed through LastBite's payment infrastructure. LastBite will remit your share of completed sales (net of commission and any applicable fees) on the payout schedule communicated to you in the Platform or Fee Schedule.

You are solely responsible for your own tax obligations, including UAE VAT registration and reporting, arising from sales made through the Platform. LastBite is not responsible for calculating, withholding, or remitting taxes on your behalf unless explicitly agreed in writing.

1. Exclusivity

This is a binding commitment. Please read it carefully before registering.

In consideration of being onboarded to the Platform, you agree that, for so long as you maintain an active Vendor account on LastBite, you will not list, sell, or offer surplus or near-expiry food or retail items through any Competing Platform.

6.1  Post-Termination Restriction

Following the deletion, suspension, or termination of your Vendor account for any reason, this exclusivity obligation continues for a period of eighteen (18) months from the date your account is deleted or terminated. During this period, you agree not to list, sell, or offer surplus or near-expiry food or retail items through any Competing Platform.

6.2  Scope

This exclusivity obligation applies specifically to the listing and sale of surplus, near-expiry, or end-of-day discounted food and retail items through a Competing Platform. It does not restrict your ordinary business operations, your use of food delivery platforms for standard menu items, or any activity unrelated to the surplus marketplace category described in this Agreement.

6.3  Remedies

You acknowledge that a breach of this exclusivity obligation may cause LastBite harm that is difficult to fully remedy through monetary damages alone, and that LastBite may be entitled to seek injunctive relief, in addition to any other remedy available at law, to enforce this provision.

1. Vendor Responsibilities & Food Safety Compliance

As the party that prepares, packages, and ultimately controls the food or items sold through your Listings, you are solely responsible for:

• The safety, quality, freshness, and legal compliance of every item you list
• Correct and honest labelling of allergens, ingredients, and dietary information to the extent displayed or claimed in your Listing
• Storing and handling all surplus food in accordance with applicable food safety standards up to the point of Consumer collection
• Ensuring that items are safe for consumption within the pickup window stated in your Listing
• Promptly removing or correcting any Listing that no longer accurately reflects what is available

LastBite does not prepare, inspect, test, or certify any food or item listed through the Platform, and has no obligation to do so. LastBite's role is limited to providing the technology that connects you with Consumers.

1. Indemnification

This section protects LastBite from claims arising out of your food and your business — please read it carefully.

You agree to indemnify, defend, and hold harmless LastBite, its founder, employees, and contractors from and against any and all claims, liabilities, damages, losses, fines, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Any illness, allergic reaction, injury, or other adverse outcome caused by food or items you listed on the Platform
• Any inaccuracy, omission, or misrepresentation in a Listing you created, including incorrect allergen or dietary information
• Your breach of any warranty in Section 3, including any issue with the validity of your trade license
• Your violation of applicable UAE food safety, labelling, or business law
• Your breach of the exclusivity obligation in Section 6
• Any claim brought by a Consumer or third party that relates to your business, your food, or your conduct, rather than to LastBite's technology or platform itself

1. Intellectual Property License

You grant LastBite a non-exclusive, royalty-free, worldwide license to use your business name, logo, photographs, and Listing content for the purpose of displaying your venue on the Platform and in reasonable marketing or promotional materials related to LastBite, including social media and launch promotion.

You retain ownership of your own brand, name, and content. LastBite retains exclusive ownership of the Platform, its software, design, and all LastBite branding, none of which is licensed to you beyond what is necessary to operate your Vendor dashboard.

1. Confidentiality

Through your use of the Vendor dashboard, you may have access to information that is confidential to LastBite, including platform-wide data, commission structures, unreleased features, and performance benchmarks. You agree not to disclose this information to any third party, including other Vendors or competitors, without LastBite's prior written consent.

This obligation continues for as long as you use the Platform and for 18 months following termination of your account. It does not restrict your ability to discuss your own business's performance or your general experience as a Vendor.

1. Term, Suspension & Termination

This Agreement remains in effect for as long as you maintain an active Vendor account. You may close your account at any time through the Vendor dashboard or by contacting LastBite.

LastBite may suspend or terminate your Vendor account, with or without notice, for any of the following reasons:

• Breach of any warranty, obligation, or restriction in this Agreement, including the exclusivity obligation in Section 6
• Food safety violations, repeated consumer complaints, or conduct that risks harm to Consumers
• Fraudulent activity, including manipulation of orders, reviews, or platform metrics
• Repeated failure to fulfil confirmed orders or maintain accurate Listings
• Expiry, suspension, or revocation of your trade license

Sections 6 (Exclusivity), 8 (Indemnification), 10 (Confidentiality), 12 (Limitation of Liability), and 14 (Dispute Resolution) survive termination of this Agreement and your Vendor account.

1. Limitation of Liability

To the fullest extent permitted under UAE law, LastBite's total liability to you arising out of or related to this Agreement, for any cause whatsoever, shall not exceed the total commission paid by you to LastBite in the 3 months preceding the event giving rise to the claim.

LastBite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, or goodwill, arising from your participation on the Platform.

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under UAE law, including liability for death or personal injury caused by proven gross negligence or wilful misconduct on the part of LastBite.

1. Independent Business Relationship

Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and LastBite. You operate as an independent business. Neither party has authority to bind the other, and each party is solely responsible for its own employees, contractors, taxes, and legal obligations.

1. Dispute Resolution & Governing Law

This Agreement is governed by the laws of the United Arab Emirates.

If a dispute arises out of or relates to this Agreement, the parties agree to first attempt to resolve the matter informally by contacting one another directly, in good faith, for a period of 30 days.

If the dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates (including, where applicable, the Dubai International Financial Centre Courts), and both parties agree to submit to the personal jurisdiction of those courts.

1. Changes to This Agreement

LastBite may update this Agreement from time to time. We will provide reasonable advance notice of material changes through the Platform or by email before they take effect. Continued use of the Platform after a change takes effect constitutes your acceptance of the revised Agreement.

1. General Provisions

• Entire agreement: this Agreement constitutes the entire agreement between you and LastBite regarding your participation as a Vendor, superseding any prior discussions or understandings.
• Severability: if any provision of this Agreement is found unenforceable, the remaining provisions continue in full force and effect.
• No waiver: LastBite's failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign this Agreement without LastBite's written consent. LastBite may assign this Agreement in connection with a merger, acquisition, or sale of assets.
